1. Introduction

Please read these Terms of Use (these "Terms") carefully as they govern your personalized use (including access to) the Spotify service for streaming music and other content, including all of our websites and software applications that include or link to these Terms (collectively the "Spotify Service") and any music, video, podcast or other material available through the Spotify Service ("Content").

Use of the Spotify Service may be subject to additional terms and conditions provided by Spotify, which are hereby incorporated by reference into these Terms.

By registering for, or using, the Spotify Service, you agree to these Terms. If you do not agree to these Terms, you may not use the Spotify Service or access any Content.

Service provider

Age and eligibility requirements

2. The Spotify Service We Provide.

Spotify Service Options

We provide a large selection of Spotify Services. Certain Spotify Service options are provided free of charge, while others require payment before being accessible ("Paid Subscriptions"). We may also offer special promotional, membership or service packages, including offerings of third party products and services. We are not responsible for the products and services provided by such third parties.

Unlimited Service may not be available to all users. We will explain what services are available to you when you register for a service. If you cancel your subscription to the Unlimited Service, or if your subscription to the Unlimited Service is interrupted (for example, if you change your payment details), you cannot re-register for the Unlimited Service. Please note that the Unlimited Service may be discontinued in the future, in which case you will not be charged again for the Service.

Testing

From time to time, we or others on our behalf may offer a trial of a Paid Subscription for a specified period of time at no charge or at a reduced price ("Trial"). By using the Spotify Service on a Trial basis, you agree to the Spotify Premium Promotional Offer Terms .

Third Party Open Source Apps, Devices and Software

The Spotify Service integrates with or may interact with third party applications, websites and services ("Third Party Applications") and third party personal computers, mobile handsets, tablets, wearables, speakers and other devices ("Devices") . Your use of such Third Party Applications and Devices may be subject to additional terms, conditions and policies provided to you by the applicable third party. Spotify does not warrant that Third Party Apps and Devices will be compatible with the Spotify Service.

Service Limits and Modifications

We use reasonable care and skill to keep the Spotify Service up and running and to provide you with a personalized and immersive audio experience. However, our service offerings and service availability may change from time to time and subject to applicable law, without liability to you; for example:

  • The Spotify service may experience temporary interruptions due to technical difficulties, maintenance or testing, or updates required to reflect changes in relevant statutory and regulatory requirements.
  • We intend to continually develop and improve our Services, and we may modify, suspend, or discontinue (permanently or temporarily) the provision of all parts of the Spotify Service (including certain functions, features, subscription plans and promotional offers).
  • Spotify is under no obligation to provide any particular content through the Spotify Service, and Spotify or its applicable owners may remove certain songs, videos, podcasts and other Content without notice.

If you have direct prepaid charges to Spotify for a Paid Subscription terminated by Spotify prior to the end of the Prepaid Period (as that term is defined in the Payments and cancellations section below), Spotify will refund the prepaid fee within the Prepaid Period for any unused portion of the Paid Subscription. you after such termination. 3. Your Use of the Spotify Service

Spotify account creation

You need to create a Spotify account to use all or part of the Spotify Service. Your username and password are for personal use only and must be kept confidential. You understand that you are responsible for all uses (including unauthorized use) of your username and password. Notify Customer Service as soon as possible if your username and password are lost or stolen, or if you believe that unauthorized access to your account has occurred.

Spotify may reclaim, or require you to change, your username for any reason.

Your rights to use the Spotify Service

Access to Spotify Service

Subject to your compliance with these Terms (including any other applicable terms and conditions), We grant you a limited, non-exclusive and revocable license to use the Spotify Service and Content on a personal and non-commercial basis (collectively, " Access "). This access will remain in effect unless and until terminated by you or Spotify. You agree that you will not redistribute or otherwise transfer the Spotify Service or such Content.

The Spotify software application and Content are licensed, neither sold nor transferred to you, and Spotify and its licensors own all copies of the Spotify software application and Content even after they have been installed on your device.

Spotify Proprietary Rights

The Spotify Service and Content are the property of Spotify or Spotify's licensors. All trademarks, service marks, trade names, logos, Spotify domain names and other features of the Spotify brand ("Spotify Brand Features") are the sole property of Spotify and its licensors. These Terms do not grant you the right to use Spotify Brand Features for either commercial or non-commercial use.

You agree to comply with the Spotify user guide and not to use the Spotify Service, its Content and any part thereof in a manner not expressly permitted in these Terms.

Payment and Cancellation

Bill

You can purchase a Paid Subscription directly from Spotify or through a third party, by:

  • pay a subscription fee in advance or on a monthly or other recurring interval notified to you prior to making a purchase; or
  • an upfront payment that gives you access to the Spotify Service for a set period of time (the "Prepaid Period").

Tax rates are calculated based on the information you provide and the rates in effect at the time of your monthly billing.

If you purchase access to a Paid Subscription through a third party, separate terms and conditions with that third party may apply to your access to the Spotify Service in addition to this Agreement. If you purchase a Paid Subscription using a code, gift card, prepaid offer, or other offer provided or sold by or on behalf of Spotify to access a Paid Subscription ("Code"), you hereby agree to the Spotify Card Terms.

Changes in prices and taxes

Spotify may change the price of Paid Subscriptions, including the subscription fee, Prepaid Period (for the unpaid period), or Code (defined above), from time to time and will notify you of such price changes in advance with reasonable notice. The price change will take effect at the beginning of the next subscription period after the price change date. Subject to applicable law, by continuing to use the Spotify Service after the price change takes effect, you will receive the new price. If you do not agree to a price change, you have the right to object to the change by leaving the applicable Paid Subscription before the fee change takes effect.

The tax rate is based on the rate in effect at the time of your monthly billing. This amount may change over time with local tax requirements in your country, state, territory, or even city. Any changes to the Tax rate will be applied automatically based on the account information you provide

Renewal and Cancellation

With the exception of Paid Subscriptions for the Prepaid Period, your payments to Spotify or a third party through which you purchased the Paid Subscription will automatically renew at the expiration of the applicable subscription period, unless you cancel your Paid Subscription before the end of the subscription period. Contact our Customer Support team here for instructions on how to cancel. This cancellation will take effect on the day following the last day of the current subscription period, and you will be downgraded to the free version of the Spotify Service. We do not provide refunds or credits for partial subscription periods, except as expressly stated in these Terms.

If you purchase a Paid Subscription using a Code, your subscription will be automatically terminated at the end of the period specified in the Code, or if your prepaid balance is insufficient to pay for the Spotify Service.

Cancellation right

If you sign up for a Trial, you agree that the right of cancellation for a Paid Subscription for which you have received a Trial will expire fourteen (14) days after you have started the Trial. If you do not cancel your Paid Subscription before the Trial ends, you will forfeit your right of cancellation and authorize Spotify to automatically charge the agreed fee each month until you cancel your Paid Subscription. For a trial of less than fourteen (14) days, you expressly consent to us providing a paid service immediately after the end of your trial and from that moment you forfeit your right of cancellation.

If you purchase a Paid Subscription without a Trial, you agree that you have fourteen (14) days after your purchase to cancel for any reason and must pay us for the services provided until such time as you notify us that you have changed your mind. . You expressly agree that we provide the service to you immediately after purchase, that you forfeit your right of cancellation, and that you allow Spotify to automatically charge you every month until you cancel it.

User Guide

We have established guidelines for using the Spotify Service, to ensure that the Spotify Service remains accessible to everyone (the "Spotify User Guide"). In using the Spotify Service, you must comply with the Spotify User Guide , as well as all applicable laws, rules and regulations, and respect the intellectual property rights, privacy and other rights of third parties.

Brand Account

If you create a Spotify account in the name of a company, organization, entity, or brand ("Brand" and the account is a "Brand Account"), the terms "you" and "your" as used in these Terms (including other Spotify terms and conditions) incorporated by reference herein), applies to you and the Brand.

If you create a Brand Account, you represent and warrant that you are authorized to grant all permissions and licenses granted in the Terms (including other applicable Spotify terms and conditions) and to bind Brand to these Terms.

Brands may follow users, create, or share playlists, provided that the Brand does not take any action to demonstrate endorsement or commercial connection between the Brand and the user, artist, songwriter, or other party being followed, unless the Brand has independently obtained the right to show support. the. Export control and sanctions

Spotify products may be subject to statutory or similar laws in the US regarding export and re-export control applicable in other jurisdictions, including the Export Administration Regulations ("EAR") administered by the US Department of Commerce, trade and economic sanctions administered by the US Department of Commerce. Overseas Asset Control ("OFAC") the Department of the Treasury, and the Department of State's International Arms Trade Regulations ("ITAR"). You agree to comply with all export and re-export control laws and regulations, including without limitation EAR and trade and economic sanctions administered by OFAC. You undertake that, with respect to any User Content you post on Spotify, (1) you own or hold the rights to post such User Content, and (2) such User Content, or its use by Spotify in accordance with the license granted below, will not : (i) violate these Terms, applicable law, or any intellectual property, or rights of any third party or (ii) such User Content does not imply affiliation with or endorsement of you or your User Content by Spotify or any artist, band, label, entity or individual without the prior written permission of Spotify or such individual or entity.

In posting or sharing User Content or other information on the Spotify Service, please keep in mind that other content and information will be publicly accessible, and may be used and re-shared by others on the Spotify Service and across the web, so please use the Spotify Service with care. Be careful about posting or sharing, and pay attention to your account settings. Spotify is not responsible for what you or others post or share on the Spotify Service.

Monitoring user content

Spotify may, but has no obligation to, monitor, review, User Content. Spotify reserves the right to remove or disable access to any User Content with or without reason. Spotify may perform this action without prior notice to you.

The license you gave us

User Content

You retain ownership of User Content when you post it to the Service. However, in order for us to make your User Content available on the Spotify Service, we need a limited license from you for that User Content. Accordingly, you hereby grant Spotify a non-exclusive, transferable, sublicensable, royalty-free, fully paid, irrevocable, worldwide license to reproduce, provide, perform and display, translate, modify, create derivative works from , distribute and otherwise use such User Content through any media, either alone or in combination with other Content or materials, by any means and efforts, methods or technology, whether currently known or created later, in connection with Spotify service.

Input

If you provide ideas, suggestions or other feedback regarding your use of the Spotify Service or any Content ("Feedback"), such Feedback is non-confidential and may be used by Spotify without limitation and without payment to you. Feedback is considered a type of User Content under these Terms.

Your device

You grant us the right to (1) allow the Spotify Service to use the processor, bandwidth, and storage hardware on your Device in order to make the operation of the Service easier, (2) provide you with advertisements and other information, and allow our business partners to do whatever they want. the same, as permitted in accordance with Spotify's Privacy Policy .

Content experience

In any part of the Spotify Service, the Content you access, including its selection and placement, may be affected by commercial considerations, including Spotify's agreements with third parties.

Some Content licensed by, made available to, created by, or made available by Spotify (for example, podcasts) may include advertisements, and Spotify is not responsible for such advertisements.

Infringement claim

6. Problems and Disputes

Suspending and terminating the Spotify Service

The Agreement will continue in effect for you until terminated by you or Spotify. Spotify may terminate these Terms (including any additional terms and conditions incorporated herein) or suspend your access to the Spotify Service at any time if we believe you have violated any of these Terms, if we cease providing the Spotify Service or any material component with reasonable notice. to you, or because we believe it is necessary to comply with applicable law. If you or Spotify terminate these Terms, or if Spotify suspends your access to the Spotify Service, you agree that Spotify is subject to applicable law, has no obligation or responsibility to you, and (except as expressly provided in these Terms) Spotify will not refund any amount you have paid. Warranty disclaimer

Limitation of Liability and Time for Filing a Claim

Subject to applicable law, you agree that your sole and exclusive remedy for any problem or dissatisfaction with the Spotify Service is to uninstall the Spotify software and stop using the Spotify Service. You agree that Spotify has no liability or responsibility arising out of or relating to any third party applications or their content provided through or in connection with the Spotify Service, and although your relationship with such third party applications may be governed by separate agreements with such third parties, your sole and exclusive remedy, the same as with respect to Spotify, for any problems or dissatisfaction with third-party applications or their content,

Unless such limitation is prohibited under applicable law, any claim arising under these terms must be initiated (by filing a request for arbitration or bringing an individual action under the arbitration agreement below) within one (1) year after the date on which the party claiming the claim first knew or should reasonably have known of the legal act, omission, or failure giving rise to the claim; and there is no right to any remedy for any claim not stated within that time period.

Third Party Rights

You acknowledge and agree that certain Content owners and distributors (such as app store providers) are the beneficiaries referred to in these Terms and have the right to sue for the implementation of the Terms directly against you. Other than as set out in this section, the Terms are not intended to grant rights to anyone other than you and Spotify, and in no event will these Terms create any third party beneficiary rights.

If you have downloaded a mobile software application (each, an "Application") from the Apple Inc. App Store. (" AppleApple is not responsible for addressing any claims you or any third party may make regarding the Spotify Service or your ownership or use of the Spotify Service, including: (1) product liability claims; (2) any claim that the Spotify Service does not meet the requirements under any applicable law or regulation; and (3) claims arising under consumer protection or similar legislation; and (4) claims relating to intellectual property infringement. Apple is not responsible for the investigation, defense, settlement, and discharge of third party claims that the Spotify Service or your possession and use of the Application violates the intellectual property rights of such third parties. Compensation

You agree to indemnify and hold Spotify harmless from and against all direct losses, damages and reasonable expenses (including reasonable attorneys' fees) incurred by Spotify or related to: (1) your breach of any of these Terms (including the terms and additional Spotify terms entered here); (2) User Content that you post or provide; (3) any activity you perform with or through the Spotify Service; and (4) your violation of the law or the rights of a third party.

Governing Law, Compulsory Arbitration and Location

6.1 Governing Law/Jurisdiction

Unless otherwise required by law to be complied with in your country of residence, the Agreement (and any non-contractual disputes/claims arising out of or in connection therewith) is subject to the state or country laws listed below , without regard to choice or conflict of law principles.

Further, you and Spotify agree to the jurisdiction of the courts set out below to resolve any dispute, claim or dispute arising in connection with the Agreement (and any non-contractual dispute/claim arising out of or in connection therewith), except under law. applicable mandatory laws, you can choose to bring legal process in your country of residence, or we are required to bring legal process only in your country of residence.

6.2 GROUP ACTION WAIVER

WHERE PERMITTED UNDER THE APPLICABLE LAW, YOU AND SPOTIFY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless otherwise agreed by you and Spotify, no arbitrator or judge may consolidate more than one individual's claims or preside over any form of a representative or class proceeding.

6.3 ARBITRATION

If you are located in, are based in, have an office in, or do business in a jurisdiction implementing this Section 6.3, the following mandatory arbitration provisions apply to you:

6.3.1 Dispute resolution and arbitration

You and Spotify agree that any dispute, claim or dispute between you and Spotify that in any way arises in connection with this Agreement or your relationship with Spotify as a user of the Service (whether under contract, tort, statute, fraud, misrepresentation, or any other legal theory, and whether such claim arises during or after termination of the Agreement) will be determined by binding individual arbitration. Arbitration is more informal than lawsuits in court. THERE ARE NO JUDGES OR JURY IN ARBITRATION AND COURT REVIEW OF ARBITRATION AWARDS ARE LIMITED. There may be more limited findings than the courts. The arbitrator must comply with this agreement and may provide compensation and remedies equal to the courts (including attorney's fees), except that the arbitrator does not render an interim or declarative award in favor of any party, except the parties to the arbitration. These arbitration provisions will continue in effect after the termination of this Agreement.

6.3.2 Exceptions

Notwithstanding the provisions of clause 6.3.1 above, you and Spotify agree that nothing in this document shall be deemed to waive, preclude, or otherwise limit our right, at any time, to (1) bring individual claims to court by minor claims (2) take enforcement action through the applicable federal, state, or local agency where the action occurred, (3) seek an interim award in court, or (4) file a lawsuit in court to address a claim of intellectual property infringement .

6.3.3 Rules of arbitration

Neither you nor we can initiate arbitration proceedings. Any arbitration between you and Spotify will ultimately be resolved in accordance with the then-currently applicable International Chamber of Commerce ("ICC") Arbitration Rules ("ICC Rules") by one or more arbitrators appointed under the ICC Rules, as modified under this Agreement, and will be governed by by the ICC International Court of Arbitration.

Any arbitration will be conducted in English and, unless otherwise required by law to be complied with in a member state of the European Union or other jurisdiction, the law to be enforced in the arbitration shall be the law of [the relevant state or country set forth in clause 6.1], without regard choice or conflict of legal principles.

6.3.4 Application time

The arbitration must commence by filing a request for arbitration within ONE (1) YEAR after the date on which the party making the claim first became aware of or reasonably should have known of the legal act, omission, or default giving rise to the claim; and there is no right to any remedy for any claim not stated within that time period. If applicable law prohibits a one year limitation period for claiming, the claim must be declared within the shortest period of time permitted under applicable law.

6.3.5 Notice; Process

The party seeking arbitration must send prior written notice of the dispute to the other party, by certified mail or Federal Express (requires signature), or if we do not have your physical address on file with us, by electronic mail ("Notice"). The notice must (1) describe the nature and basis of the claim or dispute; and (2) specifying a specific remedy ("Request"). We agree to use good faith efforts to resolve the claim directly, but if we do not reach an agreement to do so within 30 days after the Notice is received, You or Spotify may initiate arbitration proceedings. During the course of the arbitration process, the amount of the settlement offer that you or Spotify makes will not be disclosed to the arbitrator until the arbitrator has made a final and awarding decision, if any. In the event that our dispute is finally resolved by arbitration in your favor, Spotify must pay you (1) the amount provided by the arbitrator, if any, (2) the final settlement amount in writing and offered by Spotify in dispute resolution prior to the arbitrator's award; or (3) $1,000.00, whichever is greater. All documents and information disclosed during the arbitration must be kept confidential by the recipient and may not be used by the recipient for purposes other than the purpose of the arbitration or enforcement of the arbitrator's decisions and awards and may not be disclosed, except with confidence in the party having knowledge for such purposes or as required under applicable law. Unless required to enforce the arbitrator's decisions and awards, neither you nor Spotify will make any public announcements or public comments or publish any publicity regarding the arbitration, including, but not limited to, the fact that the parties are in dispute, the existence of the arbitration, or arbitrator's decision or award. except with confidence in a must-know for that purpose or as required under applicable law. Unless required to enforce the arbitrator's decisions and awards, neither you nor Spotify will make any public announcements or public comments or publish any publicity regarding the arbitration, including, but not limited to, the fact that the parties are in dispute, the existence of the arbitration, or arbitrator's decision or award. except with confidence in a must-know for that purpose or as required under applicable law. Unless required to enforce the arbitrator's decisions and awards, neither you nor Spotify will make any public announcements or public comments or publish any publicity regarding the arbitration, including, but not limited to, the fact that the parties are in dispute, the existence of the arbitration, or arbitrator's decision or award.

6.3.6 Modification

In the event that Spotify later makes changes to the terms of this arbitration (other than a change to the Spotify address for Notice), you may object to such change by sending written notice within 30 days of the change to the Spotify address for Notice, at which point your account with Spotify will be terminated immediately. and the terms of this arbitration, which will take effect immediately prior to the amendment you object to, will remain in effect.

6.3.7 Implementation

If the class action waiver in Article 6.2 is found to be unenforceable in arbitration or if any part of this Article 6.3 is found to be invalid or unenforceable, the entirety of this Article 6.3 shall be null and void and, in such event, the parties agree that exclusive jurisdiction and the premises described in Section 6.1 will govern actions arising out of or related to the Agreement and you will not be prevented from bringing proceedings at any time.

7. About these Terms

Under applicable law, you may have certain rights that cannot be limited by contract. This provision is in no way intended to limit these rights.

Change

We may make changes to these Terms (including any additional Spotify terms and conditions incorporated by reference herein) from time to time by notifying you of such changes in a reasonable manner (before they take effect), including by posting the revised Agreement on Spotify Service (provided that, for material changes, we will endeavor to supplement such notice by email, in-service pop-up message, or other means). Any such changes will not apply to any dispute between you and us that arose prior to the date we posted the revised Terms, or other Spotify terms and conditions, incorporating those changes, or notifying you of such changes. Your use of the Spotify Service following any changes to these Terms constitutes your acceptance of those changes. If you no longer wish to use the Spotify Service under the updated Terms, you may close your account by contacting us. The validity period specified at the top of this document indicates when these Terms were last modified.

Entire Agreement

In addition to those stated in this article or as expressly agreed in writing between you and Spotify, the Agreement contains all terms and conditions agreed between you and Spotify and supersedes any prior agreements regarding the subject matter of this Agreement, both written and oral. As noted above, other terms and conditions governing the use of the Spotify Service are incorporated herein by reference, including the following terms and conditions: Spotify Premium Promotional Offer Terms ; Spotify Card Terms ; Spotify user guide ; Spotify Copyright Policy ; and the Spotify Support Community .

Separation and Abandonment

Unless otherwise stated in the Terms, if a provision of the Terms is held to be invalid or unenforceable for any reason or to a certain extent, the remaining provisions of these Terms will not be affected, and the application of that provision shall be enforced to the extent permitted by law.

Any failure by Spotify or any third party beneficiary to enforce the Terms or its provisions shall not waive the right of Spotify or any applicable third party beneficiary to do so.

Diversion

Spotify may assign the Terms, may assign or assign, in whole or in part, any of its rights or obligations under these Terms. You may not assign these Terms, in whole or in part, nor may you transfer or sublicense your rights under the Terms to any third party.
