Creator Membership Terms

1. Introduction: By signing up for or otherwise using the Memberships feature ("Memberships"), you agree to be bound by these Creator Membership Terms. These Creator Membership Terms are entered into between you, and Spotify USA Inc., a Delaware Corporation with offices at 4 World Trade Center, 150 Greenwich Street, 62nd Floor, New York, New York 10007 and Spotify AB, of Regeringsgatan 19, 111 53 Stockholm, Sweden, with registered number 556703-7495 (together, as applicable, "Spotify"). These Creator Membership Terms incorporate the Spotify for Creators Terms and Conditions of Use or the Megaphone Master Terms and Conditions, as applicable ("Platform Terms") (together, the Creator Membership Terms and the Platform Terms are the "Terms"). To the extent there is any irreconcilable conflict between the Platform Terms and these Creator Membership Terms, these Creator Membership Terms shall prevail. For the purposes of the Spotify for Creators Terms of Service, "Monetized Content" includes content made available to users under these Creator Membership Terms.
2. Eligibility: You must meet (and continue to meet throughout the term) all eligibility and other criteria as determined by Spotify to be eligible to participate in Memberships, and submit any additional information as required by Spotify. You promise that all information you submit to Spotify is true, accurate, and complete, and you agree to keep it that way at all times. This criteria may change at any time in accordance with the Terms. Spotify makes no promise or guarantee that you will be granted access to Memberships. If you are an individual, you hereby explicitly agree that you are acting on your own behalf and not on behalf of any third party. If you are acting on behalf of a business, company or other legal entity, you hereby explicitly agree that you have the sufficient legal capacity to act on its behalf.
3. Membership Offering: You may make certain content and/or benefits available on the Spotify platform as a paid membership offering (a "Membership Offering"). Users who choose to pay for a Membership Offering are referred to as "Members". Each Member will purchase directly from you a Membership Offering. You will select the price for each Membership Offering from the range of options available (the "Membership Price"). You may have more than one Membership Offering at different Membership Prices. Each Membership Offering, together with its applicable Membership Price, is a separate "Tier". Once you have made your Membership Offering and Tiers available to Members, Spotify may restrict your ability to change a Tier, Membership Price and/or the content and/or benefits included in the Membership Offering, for a period of time, as notified to you by Spotify. You may be eligible to offer annual and/or monthly Membership Offerings. Annual Membership Offerings may be subject to further restrictions as notified to you by Spotify or as otherwise set out in these Creator Membership Terms. Any changes to your Membership Price will be notified to your Members not less than 30 days before the new price takes effect and will take effect for existing Members at the start of their next billing period following the date of the price change.
The Membership Price will be presented to Members in the Members' local currency at the time of signing up to your Membership Offering, therefore the amount you actually receive may fluctuate in accordance with financial exchange rates, which are set by the Payment Service Provider. The Membership Price, excluding applicable fees and Indirect Taxes (as described in Sections 6 and 9 below), will be paid directly to your account with the Payment Service Provider (defined below). When a Member signs up to your Membership Offering, you are entering into a contract directly with the Member, and are responsible for delivering the content and/or benefits under the terms and at the price specified in your Membership Offering.
4. Free Trials: Spotify may, in its sole discretion, make available a free trial feature that allows you to offer eligible Members a time-limited trial period (a "Free Trial") for your Membership Offering. The availability of the Free Trial feature, including the duration of the Free Trial period and the eligibility criteria for Members will be determined by Spotify and may be modified or withdrawn at any time upon reasonable notice to you.
A Member who starts a Free Trial will be required to provide a valid payment method at the point of sign-up. Unless the Member cancels before the end of the Free Trial period, the Member will be automatically charged the applicable Membership Price at the end of the Free Trial period and will enter into a recurring paid Membership with you on the terms set out in Section 3 above. Each Member is eligible for one Free Trial per Membership Offering.
You will not receive any Earnings in respect of a Free Trial period. The Membership Price (and any applicable fees and Indirect Taxes) will only become payable upon a Member's conversion to a paid Membership at the end of the Free Trial period.
During any Free Trial period, you must provide the Member with access to the same content and benefits as are available to paying Members of the applicable Tier. You may not differentiate the quality or scope of the Membership Offering between Free Trial Members and paying Members.
The provisions of these Creator Membership Terms relating to refunds (Section 7), fraud and abuse (Section 7), and termination (Section 10) apply equally to Memberships that originated through a Free Trial.
5. Account with the Payment Service Provider: Spotify engages with third party service providers (each a "Payment Service Provider") to provide any regulated payment service associated with Memberships, including collecting payment from Members and effecting payouts to you. In order to provide your Membership Offering to Members, you will be required to open an account with such a Payment Service Provider(s) and agree to such Payment Service Provider(s) terms ("Payment Service Terms"), as may be notified to you by Spotify and/or the Payment Service Provider from time to time. Spotify or the Payment Service Provider may suspend or terminate the provision of the payment services to you if you do not comply with the Terms or the Payment Service Terms. You authorise Spotify to share information about you and your business with the Payment Service Provider. In order to continue using the services, you may be required to agree to further terms or provide additional verification information relating to third party Payment Service Provider(s) in the future. In this case, Spotify will provide reasonable notice of such requirements, and may suspend your Membership Offering and/or account until such information has been provided.
6. Fees: The amount you earn from Memberships ("Earnings") will be subject to a Spotify fee as set out in the Fee Schedule, as well as any applicable Indirect Taxes due. Such fees shall apply to the Membership Price before the deduction of any Withholding Taxes (as described below in Section 9). The applicable fees are subject to change upon reasonable advance notice by Spotify, in any case not less than 30 days. Any change to the applicable fees will apply prospectively from the effective date specified in the notice and will not affect Earnings accrued before that date. A fee change will not apply to an annual Membership period that has already been paid for by a Member. You hereby authorize Spotify, on your behalf, to direct the Payment Service Provider to deduct the applicable fees and Indirect Taxes from the Membership Price that the Payment Service Provider receives from Members, and instead for such fees to be transferred to Spotify by the Payment Service Provider, and, if relevant, for Spotify to charge and account for, collect and remit, or, as applicable, direct the transfer to, the relevant tax authorities any applicable Indirect Taxes due. Following such deduction, the remaining amount (Earnings) will be available on your dashboard.
7. Earnings:
a. The Spotify Creator dashboard is a technology interface operated by Spotify that allows you to view your estimated Earnings. You acknowledge that such data is an estimate and is provided "as is", and Spotify does not guarantee that such data will be error-free, or that mistakes will not happen from time to time. Your Earnings information is provided for reporting and informational purposes only. Spotify shall not be liable for any settlement failure, delay, or error caused by an acquirer, payment processor, or card network, including any technical issues, system failures, insolvency, application of card network rules, or any rejection, decline, or reversal of a charge.
b. Your Earnings will be paid to you on a monthly basis, provided that you have provided all necessary information to enable payment. Payment may be subject to your account containing a minimum of US$10.00 (or equivalent in your local currency) ("Minimum Threshold"). You acknowledge that this Minimum Threshold is subject to change and you will be notified of any such change with reasonable advance notice. The Payment Service Provider may also implement requirements relating to the frequency of cash out or the maximum duration for which funds may be held by the Payment Service Provider, and these will be communicated to you by the Payment Service Provider or Spotify. Spotify and/or the Payment Service Provider will take the necessary steps to rectify any payment processing errors that we become aware of. These steps may include crediting or debiting (as appropriate) your account with the Payment Service Provider, so that you end up receiving or paying the correct amount. This may be performed by the Payment Service Provider or a third party such as your financial institution. We may also take steps to recover funds sent to you in error (including but not limited to an event of duplicate payments made to you due to a processing error). This may include by reducing, setting off and/or debiting the amount of such funds from any future Earnings owed to you. To the extent you receive any funds in error, you agree to immediately return such funds to the Payment Service Provider.
c. Without limiting anything in the Platform Terms, if Spotify reasonably suspects any fraudulent activity in connection with your Spotify account or Membership Offering, believes you are abusing the Membership feature in any way, or believes you are being misleading in your communication with Members with respect to the Membership Offering (including but not limited to, if Spotify reasonably suspects that you have infringed intellectual property rights; made false or misleading claims as to the themes, content, quality or availability of the Membership Offering; impersonated another creator or host's likeness without their permission; uploaded empty, corrupted or unreadable files as part of your Membership Offering; or failed to deliver the content and/or benefits under the terms and at the price specified in your Membership Offering), Spotify may, without limiting other remedies, suspend or limit your access to or use of the Membership feature and/or your account; suspend, remove, disable access to, or restrict the visibility of your Membership Offering; cancel any Member's access to your Membership Offering and provide a full refund for which you will be liable to Spotify; or suspend or revoke any special status associated with your account.
d. Any refunds due to a Member will be initiated and remitted by Payment Service Provider in accordance with these Creator Membership Terms. In addition to the bases for refunds described above, Spotify and/or Payment Service Provider also reserve the right to refund Membership Prices paid by your Members, including but not limited to in the event of: (i) pending, anticipated or excessive disputes, chargebacks, refunds or reversals; (ii) suspected or actual fraudulent, illegal or other malicious activity; or (iii) where required by law or court order. Spotify may also, terminate or cancel a Member's subscription to your Membership Offering and refund all or part of the Membership Price paid by that Member where Spotify reasonably considers this appropriate, including but not limited to where: (1) you have failed to provide the content or benefits described as part of the relevant Membership Offering; (2) you have ceased, or materially reduced, the provision of content or benefits to Members; (3) Spotify receives repeated or material complaints relating to the Membership Offering; or (4) the Membership Offering otherwise fails to meet the requirements of these Creator Membership Terms. In the event that Spotify has refunded a Member due to any of the circumstances in this Section 7(d), you hereby irrevocably authorize Spotify, on your behalf, to direct the Payment Service Provider to deduct the amount of such refunds from your future Earnings, and instead for such amount to be transferred to Spotify. To the extent that there are insufficient Earnings to cover refunded amounts, you will be liable to reimburse Spotify such amount.
e. You authorise Spotify to conduct activity in relation to your Earnings and provide instructions to the Payment Service Provider on your behalf in order to: (i) enable the Payment Service Provider to operate your account and deposit amounts paid by Members in your account with Payment Service Provider; (ii) enable you, Payment Service Provider or Spotify to cash out funds in your account; (iii) deduct any fees or Indirect Taxes in accordance with the Terms; and (iv) process any refunds in accordance with this Section 7.
8. Acknowledgements: You acknowledge that:
a. Spotify may improve, enhance or make changes to the features and functionality of the Memberships product and will provide you with at least 15 days prior notice for any material changes;
b. To the fullest extent permitted under applicable law, Spotify does not guarantee, and is not responsible for, achieving any revenue as a result of your participation in Memberships;
c. To the fullest extent permitted under applicable law, Spotify does not guarantee your continued access to the Memberships feature or any equivalent feature or functionality. Spotify reserves the right to remove your ability to participate in annual Memberships. This will remove the option for consumers to purchase any new annual Memberships on Spotify for you. This will not, however, result in your automatic removal from Spotify or the cancellation of existing annual Memberships, unless there is an independent basis for that removal or cancellation. If Spotify discontinues Memberships or any material component thereof in a way that prevents you from providing an existing paid Membership Offering, Spotify will take reasonable steps to address any affected Memberships.
d. All payment processing and fund transfer services are provided to you by the Payment Service Provider in accordance with the Payment Service Terms. You agree to only use such services in accordance with the applicable Payment Service Terms and not to use the services for any activity that is expressly prohibited or restricted by those terms. Any obligations relating to the provision of payment processing and fund transfer services are owed to you by the Payment Service Provider, not Spotify. You expressly acknowledge and agree that: (i) we are not an agent of the Payment Service Provider and we do not provide or offer payment services on behalf of a Payment Service Provider, or otherwise; (ii) we are not, nor should anything in these Creator Membership Terms be construed to imply that we are acting in any way under a mandate conferred by the Payment Service Provider; (iii) we are not an escrow service, money aggregator, money remitter or money transmitter; (iv) the Payment Service Provider is not our agent; and (v) we will communicate to the Payment Service Provider all necessary information that is required to provide the services under these Creator Membership Terms.
e. You authorise Spotify to share your data with the Payment Service Provider in order to facilitate these activities and your use of the services, in accordance with the Terms and Spotify's Privacy Policy.
9. Tax: You represent and warrant that your tax information entered during the creation of your account with Spotify and/or the Payment Service Provider is correct and accurate. This information will be used to file any tax reporting where legally required. You are responsible for all taxes arising from payments you receive and for filing any returns or reports to applicable tax authorities. The Membership Price may be reduced by any taxes required to be withheld under applicable law ("Withholding Taxes"). We may also block or hold payments for violations of our policies or for compliance reasons, including collecting tax reporting information. Unless stated otherwise, the fees that you must pay under these Creator Membership Terms are exclusive of VAT, GST, HST, sales taxes or other similar taxes, duties, charges or assessments ("Indirect Taxes"). Indirect Taxes shall be added on top of fees as per local legislation. Further, each party shall be solely responsible for collection and remittance to the relevant tax authorities of all Indirect Taxes it is legally obliged to collect and remit, as further described in Section 6 above. With respect to the sale of Memberships by you to Members, where Spotify is treated as the deemed supplier or marketplace facilitator under applicable law, Spotify shall calculate, collect, and remit the applicable Indirect Taxes on the Membership Price. In all other cases, you remain responsible for any Indirect Taxes arising from the sale of Memberships to Members in accordance with applicable law.
10. Termination:
a. These Creator Membership Terms will continue to apply to you until terminated by either you or Spotify. Spotify may suspend your access to Memberships, end your participation in Memberships, or terminate these Creator Membership Terms at any time without prior notice if we reasonably believe you have breached any of the Terms, if we stop providing the Membership feature or any material component thereof, or as we believe necessary to comply with applicable law, or if we believe there has been conduct that creates liability or material harm to any user, other third party, Spotify or our affiliates. Additionally, subject to applicable law, Spotify may terminate your access to Memberships and terminate these Creator Membership Terms at any time upon thirty (30) days' written notice. These Creator Membership Terms will terminate automatically upon termination of the Platform Terms. If Spotify suspends your access to or ends your participation in Memberships, or if Spotify terminates these Creator Membership Terms, you agree that Spotify shall have no liability or responsibility to you (except as expressly provided in these Terms or as required by any applicable law).
b. You may end your participation in Memberships and terminate these Creator Membership Terms at any time by disabling the Membership feature in your account, deleting your Spotify Account or by reaching out to your creator partner manager directly, as applicable; provided that if you have any active Members and you do not deliver the Membership Offering in accordance with these Creator Membership Terms, you authorize Spotify to cancel the applicable Member(s)' subscription for a Membership Offering and refund all or part of the Membership Price paid by that Member in accordance with Section 7 above.
c. Upon termination of these Creator Membership Terms, subject to Section 7, any Earnings in your account with Payment Service Provider will be paid out to you.
d. The following sections shall survive termination: Sections 6 (Fees), 7(b)-(d) (Earnings), 9 (Tax), 10 (b)-(d) (Termination), 11 (Compliance with Laws), 12(b)-(e) (About These Terms) as well as any other sections of these Creator Membership Terms that, either explicitly or by their nature, must remain in effect even after termination of these Creator Membership Terms.
11. Compliance with laws: You shall comply with all applicable laws and regulations when using Memberships. Without limiting the above, you acknowledge that you are solely responsible for complying with all applicable laws and regulations in connection with your use of any Member data provided to you by Spotify and in relation to any communications between you and your Members, including by honoring any opt-outs from Members. You acknowledge that you act as an independent data controller (as defined under applicable data protection law, including the EU General Data Protection Regulation 2016/679) with respect to such Member data. Each party is independently responsible for complying with applicable data protection laws in relation to its own processing of personal data.
12. About These Terms. Under applicable law, you may have certain rights that can't be limited by a contract. These terms are in no way intended to restrict those rights.
a. **Changes to these Terms: **We may make changes to these Creator Membership Terms (including any additional Spotify terms and conditions incorporated by reference herein) from time to time by notifying you of such changes by any reasonable means, including by posting revised terms (provided that, for material changes, we will communicate such changes to you in advance on reasonable notice and we will seek to supplement such notice by email, an in-service pop-up message, or other means). Any such changes will not apply to any dispute between you and us arising prior to the date on which we posted the revised terms, or other Spotify terms and conditions, incorporating such changes, or otherwise notified you of such changes. Your use of Memberships following any changes to these Creator Membership Terms will constitute your acceptance of such changes. If you do not wish to continue using Memberships under the updated terms, you may terminate your use of the Memberships feature before the changes take effect as outlined above. The date set forth at the top of this document indicates when these Creator Membership Terms were last changed.
b. Severability and Waiver: Unless as otherwise stated, should any provision of these Creator Membership Terms be held invalid or unenforceable for any reason or to any extent, such invalidity or unenforceability shall not in any manner affect or render invalid or unenforceable the remaining provisions of the Terms, and the application of that provision shall be enforced to the extent permitted by law. Any failure by Spotify or any third party beneficiary to enforce these Terms or any provision thereof shall not waive Spotify's or the applicable third party beneficiary's right to do so.
c. Interpretation: As used in these Terms, the words "include" and "including," and variations thereof, will be deemed to be followed by the words "without limitation." Any capitalized terms not otherwise defined herein shall have the meaning given to such terms in the Platform Terms.
d. Assignment: Spotify may assign any or all of these Creator Membership Terms, and may assign or delegate, in whole or in part, any of its rights or obligations under these terms. You may not assign these Creator Membership Terms, in whole or in part, nor transfer or sub-license your rights under these terms, to any third party.
e. Applicable Law: Unless otherwise required by mandatory laws in your country of residence, these Creator Membership Terms (and any non-contractual disputes/claims arising out of or in connection with them) are subject to the laws of the state or country set forth in the Platform Terms, without regard to choice or conflicts of law principles. Further, you and Spotify agree to the jurisdiction of the courts set forth in the Platform Terms below to resolve any dispute, claim, or controversy that arises in connection with these Creator Membership Terms (and any non-contractual disputes/claims arising out of or in connection with them), except where under applicable mandatory laws, you can choose to bring legal proceedings in your country of residence, or we are required to only bring legal proceedings in your country of residence.
